Pune Metro Update: Tender invited for display of advertisements on trainset for corridor 1 and 2 for a period of 3 years

Maharashtra Metro Rail Corporation Limited (MMRCL) has invited tenders for Awarding exclusive display of advertisements on 4 Nos. of Pune Metro trainset for the corridor 1 – from PCMC to Swargate and 12 Nos. of trainsets for corridor -2 Vanaz to Ramwadi under Pune Metro Rail Project for a period of three years.

Scope of the Work:

  • The following Trainset Wrapping Rights are proposed to be awarded pursuant to the terms and conditions of the RFP Documents:

  • The scope of work envisaged shall include the following: (Annexure -A)

Exterior Wrapping:

  • Exclusive display area for advertisement per rake consisting of 3 coaches with a tentative display area of 2452 sqft; (to be measured actual sq. ft.)
  • Avery Vinyl to be used for displays;
  • Windows to be displayed with one way vision vinyl such as Avery, 3M, LG Hausys etc. Interior Wrapping:
  • Exclusive display area for advertisement per rake consisting of 3 coaches with tentative display area of 31 sqft; (to be measured actual sq. ft.)
  • Displays to be printed on Vinyl such as Avery, 3M, LG Hausys etc.;
  • All the segregations, Windows, Doors shall be used for the displays;
  • Bidders shall submit advertisement media to be installed on the Trainsets conforming to international standards of high-quality advertising comparable to Airports and Metro of leading nations.
  • Advertising media is to be made from Fire Retardant, Low Smoke and should be complying with all Indian and International standards. The Trainset wraps on glass pane should be of contra- vision type so that it does not hamper or obstruct the visibility.
  • The Selected Bidder shall have Trainset Wrapping Rights for Awarding Exclusive Advertising Display on Pune Metro Trainsets under the Pune Metro Rail Project. The Trainsets as referred above will be provided on “as is where is basis”.
  • Revenue Sharing/Advertisement taxes with PMC/civic agency or any statutory agencies, if applicable/demanded will be borne by the Successful Bidder separately.

The Licensee shall have rights and obligations to perform as specified below:

  • Obtain all necessary approvals on creative/design from competent authority of Maha-Metro prior to execution;
  • Comply with all statutory requirements in connection with License Agreement;
  • Ensure regular and timely payments of all amounts due to Maha-Metro and discharge all obligations as per License Agreement;
  • Payment of indirect taxes such as GST/Advertisement Taxes etc. as applicable shall be borne by the Licensee as per prevailing rates.
  • Bidder will be responsible for installation, maintenance and removal of the materials made with respect to the Trainset Wrapping Rights, including but not limited to materials used for displaying brand name (of any material/neon lights), signages etc.
  • While Maha-Metro shall provide security of the Trainsets envisaged under the RFP Documents, Maha-Metro shall not be responsible for any vandalism, theft or damage to anything including the material, creative etc. put up/installed by the Bidder on the Trainsets.
  • The Bidder shall ensure while executing the advertisement displays under the Trainset Wrapping Rights that the interiors and exteriors of the Trainsets including Trainset body, floor, roof etc. are not damaged in any manner and all installations, maintenance and removal of brand name, signages upon the Trainsets shall be its responsibility.
  • The works related to installations and removal of signages, advertisements etc. shall be done only after taking prior written permission of Maha-Metro.
  • The branding/display plan prepared by Licensee shall also be in compliance with technical parameters of Pune Municipal Corporation’s Advt. policy/EPCA guidelines/directives given by Hon’ble courts, or any other prevailing policy as applicable in India from time to time.
  • Maintaining the structural safety and integrity shall be the sole responsibility of the Successful Bidder. The Successful Bidder shall also ensure that the installations are not a safety hazard for MahaMetro structures, Trainsets being operated and public at large.
  • No sub-licensing of the Trainset Wrapping Rights provided under this RFP shall be permissible and the Successful Bidder shall utilise the rights under this RFP for its own entities, subsidiaries, associates and joint venture companies only.
  • If Bidders intends to display/advertise their own list of products and brands scheduled or planned to be displayed on metro Trainsets during the License Period pursuant to the Trainset Wrapping Rights provided under this RFP. However, prior approval of Maha-Metro shall be sought.
  • Bidders shall be allowed to change the advertising inventory at its own cost after prior written approval from Maha-Metro. However, to avoid frequent changes the specific advertisement must be displayed for a period of at least 30 days continuously.
  • In case if the bidder is established/ registered as an advertising agency, he will be allowed to undertake display of advertisement on trainsets on behalf of his clients. However, provisions of Section 5.1.10 shall be applicable for such bidders.

License Period:

  • The Trainset Wrapping Rights shall be made available for License Period of 03 years unless otherwise terminated by Maha-Metro or surrendered by the Successful Bidder, in terms of provisions of the License Agreement.
  • The tenure of License Agreement shall commence from the date of handing over the Trainsets for awarding advertisement displays on Pune Metro Trainsets or start of commercial service date of Trainsets, whichever is later.
  • Tenure of the License Period for any additional advertisement areas handed over subsequently shall be co-terminus with above period irrespective of date of actual permission over for such additional minutes.
  • All other statutory taxes, statutory dues, local levies, as applicable (except those mentioned above) shall be charged extra and will have to be remitted along with the License Fees for onward remittance to the Government. The Licensee shall indemnify Maha-Metro from any claim arising thereof.
  • The License Period shall be inclusive of fitment period of 15 days. Fitment Period shall be inclusive of approval of the creative media, design, content, material, approval of material specifications, design of the proposed advertisement panels etc. from Maha-Metro.
  • Bidder shall have the “First Right of Refusal” at the end of license tenure, provided no default is made in the payments of License Fees to Maha-Metro and the Successful Bidder participates in the tender invited then and agrees to match the Highest Bid.
  • The detailed terms & conditions have been stipulated in the Draft License Agreement annexed as Volume – II of the RFP Documents.

Eligibility:

For determining the eligibility of Bidders for their qualification hereunder, the following shall apply:

  • The bidder for qualification and selection shall be a single entity.
  • A Bidder may be registered Sole-Proprietorship Firm, Registered Partnership firm, Companies registered under Companies Act 2013 in India, Limited Liability Partnership registered in India.
  • Conflict of Interest: The bidder shall not have a conflict of interest (the “Conflict of Interest”) that affects the bidding process. Any Bidder found to have a Conflict of Interest shall be disqualified.

A bidder shall be deemed to have a Conflict of Interest affecting the Bidding Process, if:

  • The Bidder, its Member or Associate (or any constituent thereof) and any other Bidder, its Member or any Associate thereof (or any constituent thereof) have common controlling shareholders or other ownership interest; provided that this disqualification shall not apply in cases where the direct or indirect shareholding of a Bidder, its Member or an Associate thereof (or any shareholder thereof having a shareholding of more than 10% (ten per cent) of the paid up and subscribed share capital of such Bidder, Member or Associate, as the case may be) in the other Bidder, its Member or Associate, is less than 10% (ten per cent) of the subscribed and paid up equity share capital thereof; provided further that this disqualification shall not apply to any ownership by a bank, insurance company, pension fund or a public financial institution referred to in sub-section (72) of section 2 of the Companies Act, 2013.
  • For the purposes of this Clause 2.1.1 (b) (i), indirect shareholding held through one or more intermediate persons shall be computed as follows: (aa) where any intermediary is controlled by a person through management control or otherwise, the entire shareholding held by such controlled intermediary in any other person (the “Subject Person”) shall be taken into account for computing the shareholding of such controlling person in the Subject Person; and (bb) subject always to sub-clause (aa) above, where a person does not exercise control over an intermediary, which has shareholding in the Subject Person, the computation of indirect shareholding of such person in the Subject Person shall be undertaken on a proportionate basis; provided, however, that no such shareholding shall be reckoned under this sub-clause (bb) if the shareholding of such person in the intermediary is less than 26% of the subscribed and paid up equity shareholding of such intermediary; or
  • A constituent of such Bidder is also a constituent of another Bidder; or
  • Such Bidder, its member or any Associate thereof receives or has received any direct or indirect subsidy, grant, concessional loan or subordinated debt from any other Bidder, its Member or Associate, or has provided any such subsidy, grant, concessional loan or subordinated debt to any other Bidder, its Member or any Associate thereof; or
  • Such Bidder has the same legal representative for purposes of this Bid as any other Bidder; or
  • Such Bidder, or any Associate thereof, has a relationship with another Bidder, or any Associate thereof, directly or through common third party/ parties, that puts either or both of them in a position to have access to each other’s information about, or to influence the Bid of either or each other; or
  • Such Bidder or any Associate thereof has participated as a consultant to the Authority in the preparation of any documents, design or technical specifications of the Project.
  • A Bidder shall be liable for disqualification and forfeiture of bid security if any legal, financial or technical adviser of the Authority in relation to the Project is engaged by the Bidder, its Member or any Associate thereof, as the case may be, in any manner for matters related to or incidental to the Project.
  • For the avoidance of doubt, this disqualification shall not apply where such adviser was engaged by the Bidder, its Member or Associate in the past but its assignment expired or was terminated prior to the Bid Due Date.
  • Nor will this disqualification apply where such adviser is engaged after a period of 3 (three) years from the date of commercial operation of the Project.
